Terms of Service

1. Who these terms are between

These terms are an agreement between you ("you", "Customer") and Andrei Zhukouski, Żupnicza 16/57, 03-821 Warsaw, Poland ("we", "us") governing your use of Client Report Autopilot (the "Service") at reports.azitadvisory.com.

By creating an account you agree to these terms. If you are agreeing on behalf of a company or firm, you confirm you have authority to bind it.

2. What the Service does

The Service connects to Google Analytics properties you nominate, generates a monthly report for each of your clients — figures plus an automatically written plain-language summary — and can email that report to recipients you specify.

3. Business use only

The Service is offered for use in the course of a business or profession. It is not intended for consumers, and you confirm you are not acting as a consumer.

4. Your account

You are responsible for keeping your login credentials confidential and for everything done under your account. Tell us promptly at reports@azitadvisory.com if you believe your account has been compromised. One account per person or firm; do not share logins.

5. Your responsibilities — permissions and recipients

These are the obligations most likely to matter in practice.

5.1 Authority over analytics properties. You confirm that for every Google Analytics property you connect, you either own it or have your client's permission to access it and to use its data to produce reports. We rely on that confirmation and cannot verify it.

5.2 Authority to email recipients. You confirm you have a lawful basis to send reports to every recipient address you enter, and that those recipients expect to receive them from you. You are responsible for the accuracy of those addresses.

5.3 Your clients' data. Where the Service processes personal data on behalf of your clients, you are the controller and we are the processor. Our Data Processing Agreement governs that relationship and forms part of these terms. It applies automatically when you create an account; no signature is required, and a countersigned copy is available on request.

5.4 Automated summary processing. You acknowledge that generating a summary involves sending the report's aggregated figures and the business context you write to a third-party AI provider, as described in the Privacy Policy, and you confirm you may lawfully permit that.

6. Automated summaries — accuracy and your review

Read this section. It describes the Service's main limitation.

Report summaries are generated automatically by a large language model. They may contain errors, omissions, or explanations of a change that turn out to be wrong. The figures are taken from Google Analytics as reported; the interpretation of those figures is generated text, not professional advice.

Accordingly:

  • The Service does not send anything automatically. Every report is generated in a ready state and is delivered only when you separately choose to send it.
  • You are responsible for reviewing each summary before it reaches your client. You are the professional in that relationship; we are not.
  • Nothing in a report is financial, legal, marketing or other professional advice.
  • Where you choose to exclude traffic sources, the Service applies your exclusions to every figure and discloses in the report that it has done so. Deciding which sources to exclude is your judgement, not ours. Any suggestions the Service offers are indicative and are never applied without your action.

7. Fees, trial and payment

7.1 Trial. New accounts may include a free trial. We may change or withdraw trial terms for future signups.

7.2 Who bills you. Subscriptions are sold and billed by Paddle.com Market Limited (United Kingdom) acting as our merchant of record. Paddle is the seller for the payment transaction, appears on your receipt and card statement, and its own terms govern that transaction alongside these terms. We never receive or store your card details.

7.3 Subscription. USD 49 per month, or USD 490 per year, billed in advance and renewing automatically until cancelled. Paddle calculates and remits any VAT, GST or sales tax due in your jurisdiction and shows it at checkout; prices are exclusive of such taxes unless stated otherwise.

7.4 Cancellation and refunds. You may cancel at any time through the billing portal Paddle provides. Cancellation takes effect at the end of the current billing period. Refunds are handled through Paddle in accordance with its refund process and any rights you have under applicable law; we do not provide pro-rata refunds for partial periods except where required by law.

7.5 Price changes. We will give at least 30 days' notice by email before a price change takes effect for your subscription. You may cancel before it applies.

7.6 Non-payment. If payment fails we may suspend the Service after giving you notice and a reasonable opportunity to fix it.

8. Acceptable use

You must not:

  • connect a property you have no right to access, or send reports to people who have not agreed to receive them from you;
  • use the Service to send unsolicited bulk email;
  • attempt to access another customer's account or data, probe or test the Service's security, or circumvent usage limits;
  • resell or white-label the Service to third parties as your own product, other than delivering reports to your own clients as intended;
  • use the Service unlawfully, or in a way that damages it or others' use of it.

We may suspend an account for a serious or repeated breach, with notice where practical and immediately where necessary to protect the Service or others.

9. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. The Service depends on third parties — Google Analytics, our AI provider, our email provider, our payment provider, and our hosting and database providers — and their outages or changes can interrupt it. We may perform maintenance, and will try to schedule it to minimise disruption. We offer no service level agreement unless separately agreed in writing.

10. Disclaimers

Except as expressly stated in these terms and to the fullest extent permitted by law, the Service is provided "as is". We do not warrant that it will be error-free, that generated summaries will be accurate or complete, or that it will meet your particular requirements. We are not responsible for the accuracy or availability of data supplied by Google Analytics.

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

11. Limitation of liability

Subject to the paragraph above:

  • Neither party is liable for indirect or consequential loss, loss of profit, loss of business, loss of goodwill or reputation, or loss of anticipated savings.
  • Our total liability arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited in aggregate to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100.

You accept this limit reflects the price of the Service and the fact that you retain control over reviewing and sending every report.

12. Your content and our intellectual property

You keep all rights in the data you connect and the content you enter. You grant us a licence to host, process and transmit it only as needed to provide the Service.

We keep all rights in the Service itself, including its software, report templates and design. Reports you generate are yours to use with your clients.

13. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform these terms, except where disclosure is required by law.

14. Term and termination

These terms apply while you have an account. Either party may terminate: you by cancelling; us on 30 days' notice, or immediately for a serious breach or non-payment after notice.

On termination we will stop processing your data and delete it in line with the retention periods in the Privacy Policy. Export anything you want to keep before closing your account.

15. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email, and they will apply from the date stated. Continuing to use the Service after that date means you accept them; if you do not, cancel before then.

16. Miscellaneous

You may not assign these terms without our consent; we may assign them as part of a merger or sale of the business, on notice. If any provision is unenforceable, the rest continues to apply. These terms are the entire agreement between us on this subject and supersede earlier discussions. Failure to enforce a term is not a waiver of it.

17. Governing law

These terms are governed by the law of Poland, and the courts of Warsaw, Poland have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
